Vendor Terms
Last updated: 18 September 2026
1. Scope
These Vendor Terms apply in addition to our general Terms & Conditions and govern the relationship between Origalo and vendors who create a store on the Platform ("Vendors").
2. Eligibility
Vendors must be legally capable of entering into a binding contract and must provide accurate information about themselves and their business during onboarding. GST and other tax registration requirements depend on the vendor's business, products, turnover and applicable law; vendors should consult a qualified tax professional to determine their own obligations.
3. Your Store, Your Business
Vendors retain ownership and control of their store, products, business operations, payment account, bank account and courier account. Origalo provides the technology platform that connects these pieces together; it does not take ownership of a vendor's business, products or accounts.
4. Product Listings
- Vendors are solely responsible for the accuracy, legality and quality of product listings, including descriptions, pricing, images and stock availability.
- Vendors must not list counterfeit, illegal, or prohibited products, or products that infringe third-party rights.
- Vendors are responsible for keeping inventory levels accurate to avoid overselling.
5. Orders and Fulfilment
Vendors are responsible for accepting, processing, packing and shipping orders in a timely manner, and for handling customer communications related to their orders.
6. Payments
Vendors may start by accepting Cash on Delivery (COD) and later connect their own third-party payment gateway. Where a payment gateway is connected, customer payments are processed through that gateway into the vendor's own payment account. Origalo does not act as a payment aggregator or hold vendor funds, and settlement timing is governed by the vendor's chosen payment provider's terms.
7. Commission and Fees
Origalo does not charge a percentage-based commission on vendor sales. Vendors pay for access to the Platform under the applicable pricing plan. Payment gateway charges, courier charges, and applicable taxes are separate from, and in addition to, the Platform fee, and are the vendor's responsibility unless otherwise agreed in writing.
8. Shipping
Vendors may fulfil orders through manual courier arrangements or by connecting their own courier aggregator account. Vendors are responsible for the accuracy of shipping information and for resolving delivery issues with their chosen courier or aggregator.
9. Origalo Packaging
Vendors may choose to use Origalo packaging (boxes, courier bags, stickers, tamper seals and thank-you cards) to present their products. Availability, specifications and any associated costs will be communicated separately and are not included in the annual Platform fee unless expressly stated.
10. Taxes
Vendors are solely responsible for determining, collecting and remitting any taxes applicable to their sales, including GST where applicable. Origalo does not provide tax advice; vendors should consult a qualified tax professional for guidance specific to their business.
11. Suspension and Termination
Origalo may suspend or remove a vendor's store for violation of these Vendor Terms, our general Terms & Conditions, or applicable law, including for listing prohibited products or engaging in fraudulent activity.
