1. Acceptance of Terms

These Terms & Conditions ("Terms") govern access to and use of the Origalo website and platform (the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

2. Who We Are

Origalo is an e-commerce platform that enables vendors to create an online store, list and manage products, manage inventory, and receive and manage orders from customers. Origalo provides the technology platform; it is not a party to the sale between a vendor and a customer unless expressly stated otherwise.

3. Vendor Accounts

• Vendors are responsible for the accuracy of information provided about their business, products and pricing.
• Vendors are responsible for fulfilling orders, honouring the terms of sale communicated to customers, and complying with applicable law, including consumer protection, taxation and product-specific regulations.
• Vendors remain responsible for their own business, products, taxes and applicable legal requirements at all times.

4. Payments

Vendors may accept Cash on Delivery (COD) and/or connect their own third-party payment gateway to accept online payments directly into their own payment account. Payments made through a connected payment gateway are processed by that gateway, and settlement timing is subject to the relevant payment provider's terms. Origalo does not charge a percentage-based commission on vendor sales; however, payment gateway charges, courier charges and applicable taxes may apply and are the responsibility of the vendor unless otherwise agreed.

5. Shipping

Vendors may fulfil orders using manual courier arrangements of their own choosing, or by connecting their own courier aggregator account. Origalo is not a courier or logistics provider and does not guarantee delivery timelines, which depend on the courier or aggregator selected by the vendor.

6. Pricing and Fees

Access to the Platform is offered on an annual plan as described on our Pricing page. Fees are exclusive of applicable taxes and any third-party charges (such as payment gateway or courier charges), unless stated otherwise. Pricing is subject to change with reasonable notice.

7. Acceptable Use

You agree not to use the Platform for unlawful purposes, to list prohibited or illegal products, to misrepresent your business or products, or to interfere with the proper functioning of the Platform.

8. Intellectual Property

The Origalo name, logo and Platform technology are the property of Origalo or its licensors. Vendors retain ownership of their own store content, product listings, images and brand materials.

9. Disclaimers

The Platform is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free operation, guaranteed sales, guaranteed payments, or guaranteed delivery outcomes.

10. Limitation of Liability

To the fullest extent permitted by law, Origalo shall not be liable for indirect, incidental or consequential damages arising from use of the Platform, including losses relating to third-party payment or courier services connected by a vendor.

11. Termination

We may suspend or terminate access to the Platform for a vendor who breaches these Terms or applicable law. Vendors may close their account at any time, subject to fulfilling any pending obligations to customers.

12. Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles.

13. Changes to These Terms

We may update these Terms from time to time. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
